Creator Agreement

This Creator Agreement ("Agreement") is entered into between CastProof Inc. ("CastProof," "we," or "us") and the Creator ("Creator," "you," or "your") who accesses or uses the CastProof platform. By using the Service as a Creator, you agree to be bound by this Agreement in addition to our Terms of Service.

1. Parties

This Agreement governs the relationship between CastProof Inc., a Delaware corporation operating the CastProof platform at castproof.com, and the Creator — the individual or entity who subscribes to CastProof's generation tools and creates AI-generated content using licensed likenesses.

2. Subscription Terms

Access to CastProof's generation tools requires an active paid subscription. Subscription tiers, pricing, billing cycles, and payment terms are detailed in our Fees & Payout Policy. By subscribing, you agree to pay all applicable fees in accordance with that policy.

3. Credit System

Credits are consumed per generation based on the type and complexity of the content produced. Unused credits do not roll over between billing periods. Credits have no cash value and are non-transferable. Additional details on credit allocation and per-generation costs are set forth in our Fees & Payout Policy.

4. Content Ownership & Licensing

Upon receiving an approved Usage Request, you are granted a limited, non-exclusive license to use the generated content solely for the purposes specified in that request. You may not sublicense, resell, redistribute, or grant rights to third parties beyond the scope of the approved Usage Request without obtaining additional permissions from the Model and CastProof.

5. AI Content Disclosure Obligations

You MUST disclose that content uses AI-generated likenesses when required by applicable law, including but not limited to:

  • New York S.8420-A and similar state laws requiring disclosure of synthetic media.
  • FTC rules and guidance on endorsements, testimonials, and deceptive practices.
  • Any other federal, state, or local laws or regulations requiring disclosure of AI-generated or synthetic content.

You are solely responsible for ensuring proper disclosure in your distribution channels, including social media, advertising, websites, and any other medium where you publish or share generated content. Failure to comply with disclosure obligations may result in account suspension or termination and may expose you to legal liability.

6. Indemnification

You agree to indemnify, defend, and hold harmless CastProof and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. (a) Your misuse of generated content, including use beyond the scope of approved Usage Requests.
  2. (b) Your failure to comply with AI content disclosure laws, including NY S.8420-A, FTC rules, or other applicable regulations.
  3. (c) Your use of content in prohibited contexts as defined in Section 7 below.
  4. (d) Any claims from third parties (including Models, consumers, or regulators) related to your use, distribution, or publication of generated content.

7. Prohibited Uses

You may not use CastProof or generated content for any of the following:

  • Deepfakes or impersonation — Creating content that falsely represents a real person in a misleading or harmful manner.
  • False endorsements — Implying that a Model endorses a product, service, or cause without their explicit approval.
  • Political ads without disclosure — Using generated content in political advertising without clear, conspicuous disclosure that the content is AI-generated.
  • Fraud or deception — Any use intended to deceive, defraud, or mislead individuals or entities.
  • Content with minors — Content involving minors in any capacity. CastProof does not permit the licensing or generation of minors' likenesses.
  • Content violating Model restrictions — Uses that conflict with the restrictions or consent terms set by the Model whose likeness is depicted.
  • Content that violates any applicable law, regulation, or third-party rights.

Violations may result in immediate account termination, forfeiture of unused credits, and referral to law enforcement where appropriate.

8. Content Moderation

CastProof may review, restrict, or remove content that violates this Agreement or our Content Policy. We use pre-generation policy checks and post-generation review to enforce compliance. CastProof reserves the right to refuse generation requests, revoke access to content, and take corrective action without prior notice when we determine that content or intended use violates this Agreement.

9. Account Termination

Violations of this Agreement may result in warnings, temporary suspension, or permanent account termination. Upon termination for cause, you forfeit all unused credits. CastProof may terminate your account immediately for serious violations, including but not limited to prohibited uses, fraud, or failure to comply with disclosure obligations. Provisions that by their nature should survive termination (including Indemnification, Limitation of Liability, and Dispute Resolution) shall survive.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CastProof's total aggregate liability to you for any claims arising from or related to this Agreement or the Service shall not exceed the amounts you have paid to CastProof in the twelve (12) months preceding the claim. CastProof shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered in Delaware, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding. You waive any right to a jury trial or to participate in a class action.

12. Entire Agreement

This Agreement, together with our Terms of Service, Privacy Policy, and Fees & Payout Policy, constitutes the entire agreement between you and CastProof regarding Creator use of the Service. CastProof may update this Agreement from time to time; continued use after changes constitutes acceptance.

12. General Provisions

12.1 Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force and effect.

12.2 Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond reasonable control, including natural disasters, pandemics, government actions, internet failures, or AI vendor outages.

12.3 Assignment

You may not assign this Agreement without CastProof's prior written consent. CastProof may assign this Agreement in connection with a merger, acquisition, or sale of assets.

12.4 Notices

12.5 Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, and Content Policy, constitutes the entire agreement between you and CastProof regarding your use of the Service as a Creator.
